These Terms of Service (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Institution”) and Navigster Inc.By accessing or using our governance platform, you agree to be bound by these Terms, ensuring the highest standards of safety and regulatory compliance in institutional transit.

1. Definitions

Institution: Any government body, educational entity, or private organization utilizing the platform for transport governance.

Active State: The status of the platform during designated operational transit hours.

Governance Overlay: The automated enforcement layer applied to all transit operations.

Platform: The Navigster software-as-a-service ecosystem.

2. Description of Service

Navigster provides an institutional governance framework designed to oversee, track, and enforce safety protocols for transit operations. The service includes real-time telemetry oversight, automated compliance auditing, and student safety monitoring modules.

3. Institutional Responsibilities

Institutions are responsible for maintaining accurate personnel records, ensuring driver compliance with local regulations, and managing administrative access credentials. The Institution must ensure that all use of the platform aligns with local jurisdictional laws.

4. User Access

Access is granted based on institutional roles. Users are required to authenticate via approved Institutional Single Sign-On (SSO) or multi-factor authentication methods. Credentials must not be shared between personnel.

5. Trip Governance Rules

The core of the Navigster platform is the Governance Rule Engine. Once a trip enters an “Active State,” established safety protocols and tracking parameters are enforced automatically. Unauthorized modifications to telemetry parameters are strictly prohibited to maintain the integrity of the audit trail and student safety.

6. Suspension & Termination

Navigster reserves the right to suspend access if a breach of safety protocols is detected or if institutional compliance documentation expires. Termination of services requires a 60-day written notice unless otherwise specified in the Service Level Agreement (SLA).

7. Subscription & Billing

Service fees are calculated based on fleet size and active user count. All invoices are due within 30 days of issuance. Failure to maintain an active subscription may result in a transition to “Read-Only” compliance mode.

8. Service Availability

We target a 99.9% uptime for the Governance Overlay. Scheduled maintenance occurs during non-operational hours to ensure zero disruption during active transit windows.

9. Limitation of Liability

To the maximum extent permitted by law, Navigster shall not be liable for indirect, incidental, or consequential damages resulting from operational transit incidents where platform governance rules were followed or where third-party hardware failures occurred.

10. Data Ownership

The Institution retains all rights, title, and interest in and to the institutional data processed by the platform. Navigster is granted a limited license to process this data solely for the purpose of providing the governance service.

11. Intellectual Property

The Navigster brand, software architecture, and proprietary governance algorithms are the exclusive intellectual property of Navigster Inc. No license is granted to reverse engineer any component of the platform.

12. Prohibited Conduct

Users may not attempt to circumvent trip tracking, spoof GPS telemetry, or use the platform for any transit operations not authorized by the parent institution.

13. Modifications

We may modify these terms at any time. Material changes will be communicated to the institution's primary administrative contact at least 30 days prior to taking effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, United States, without regard to conflict of law principles.

15. Amendments

No amendment or waiver of any provision of these Terms shall be effective unless in writing and signed by both an authorized representative of Navigster and the institution.
